Energy

Why?

The power sector is the key pillar of any economy. Global megatrends associated with power decarbonisation (energy transition) of the power sector and of other high-emission industries, such as construction, transport, metal or fertilizer production, rapidly change the trajectory of the current and projected electricity consumption, and also enforces switching its generation models to the so-called net zero, which means phasing-out hydrocarbon combustion technologies in favour of zero-emission technologies, such as renewable energy sources (RES) or nuclear.

Poland is a large and energy-intensive European market with an obsolete electricity generation mix, with approx. 70% still based on hard and brown coal. On the one hand, this translates to a magnitude of challenges associated with ensuring competitive power for domestic business and households, since for many years to come, a large share of high-emission power plants within the domestic grid will generate costs related to CO2 emissions, making our electricity more expensive than in most EU countries. On the other hand, this entails a strong and long-term investment demand in the field of zero-emission generation technologies, especially inland and offshore wind and solar sources, as well as related to electricity storage and take-off, transmission and distribution.

Increased electricity consumption and the need to switch its generation to a net-zero model will make the power sector an arena of massive investments and economic transformation in the perspective of at least two decades, while the economic dynamics of the industry will be greatly independent on the economic cycle in other branches of the economy.

The implementation of investment projects within the power sector requires employing specialised expertise due to the nature of a regulated market, the peculiarities of local business conditions and investment barriers, as well as particular opportunities, e.g., in the area of investment incentives and state aid dedicated to the sector. Our interdisciplinary team of experts offers support in strategic planning, tax and financial model of investments, obtaining grid connection conditions, environmental approvals, as well as zoning and legal/building permits. We advise on seeking investors or investment projects, finance structuring, as well as electricity sales contracting (cPPA, auctions). We also provide developers and investors with full-scale outsourcing services in terms of accounting, tax compliance and reporting for special purpose vehicles.

For whom?

All entities operating within the power sector. We support state-owned and municipal utilities that implement strategic projects in the field of conventional and renewable power, as well as domestic and foreign ownership companies that require aid in the development of investment project or purchase/sale transactions involving generating systems at each development stage. Our services are also aimed at investors and developers committed to RES projects, energy storages or grid investments, who seek professional consulting on transactions, financing, investment settlement, tax planning, as well as legal aspects and matters related to state aid. Our vast project and analytical experience, particularly related to the RES sectors, allows us to provide high-quality services both for industry leaders and new entrants to the market, as well as companies within the power sector supply chain.

How?

We provide support at every stage of a power project life cycle (planning, development, investment, construction, operation, exit) and also assist in solving disputes and day-to-day issues.

In particular, we offer:

  • transaction consulting – comprehensive legal, tax and financial support in the acquisition or disposal of assets or investment projects, including assistance in transaction-related negotiations, risk analysis (due diligence), structuring and financing;
  • tax planning – we develop tax efficiency strategies for power investments both locally and internationally, appropriate to the investor’s organisational structure. We handle proceedings and disputes related to taxes, investment incentives, individual interpretations and other administrative agreements;
  • financial audit – we audit financial statements as per local and international financial auditing standards. We also offer specialised analyses and reviews;
  • valuation of enterprises, companies, projects and real estate – based on our certified experts and valuers, we offer the valuation of various asset classes, including enterprises, companies and company shares, real estate and projects at each implementation stage;
  • accounting and tax outsourcing – we provide accounting and day-to-day tax settlement services for special purpose vehicles, foreign capital companies, foreign company branches or other legal forms enabling investments in the power sector;
  • attracting investors – we assist in attracting investors for power projects, as well as identifying projects for investors;
  • analyses and reports – we draw up micro- and macroeconomic reports on the electricity market, particularly in terms of leading RES subsectors.

Our one-of-a-kind experience in transaction, development and investment projects allows us to effectively support clients within complex decision-making processes, strategic analyses and fields associated with risk management. Investors choosing our services gain a partner who understands their business and contributes tangible added value to implemented projects.
